# CHATI TERMS OF SERVICE


# 1. Welcome

Welcome to Chati.

Chati is a Software as a Service (SaaS) platform designed to help businesses centralize customer communications, automate workflows, collaborate across teams and leverage artificial intelligence through messaging channels such as WhatsApp, Instagram, Facebook Messenger and other supported services.

These Terms of Service ("Terms") govern your access to and use of the Chati platform, website, applications and related services.

By creating an account, purchasing a subscription or using Chati, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Service.

# 4. Definitions

For purposes of these Terms:

**Platform** means the Chati software and related services.

**Customer** means the individual or organization purchasing or using Chati.

**Subscription** means any paid recurring access plan.

**AI Credits** means virtual credits used exclusively for artificial intelligence features.

**Automations** means workflows, integrations or custom processes configured within Chati.

**Customer Data** means conversations, files, contacts, settings and information provided by the Customer.

# 5. Eligibility

You must be at least eighteen (18) years old or the legal age of majority applicable in your jurisdiction.

If you create an account on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

# 6. Description of the Service

Chati provides a business communication platform that may include:

* Omnichannel inbox
* WhatsApp management
* Instagram integration
* Facebook integration
* AI assistants
* Workflow automation
* Team collaboration
* CRM functionality
* AI Credits
* Professional automation services
* Additional modules released over time

Features may be modified, improved or discontinued as the platform evolves.

# 7. Accounts

Customers are responsible for:

* maintaining the confidentiality of their credentials;
* restricting unauthorized access;
* ensuring that information provided remains accurate;
* all activities performed through their account.

Customers must immediately notify Chati if unauthorized access is suspected.

# 8. Subscription Plans

Chati offers subscription plans that may be billed:

* Monthly
* Quarterly
* Semi-annually
* Annually

Longer billing periods may receive promotional discounts.

Prices may be updated at any time for future billing cycles.

# 9. Free Trials

Chati may occasionally offer free trials or promotional access periods.

Free trials:

* are offered solely as a commercial strategy;
* do not create a permanent right;
* may be modified or withdrawn at any time;
* do not require a payment method unless explicitly stated in the promotion.

# 10. Payments

Subscriptions renew automatically according to the selected billing cycle unless cancelled before renewal.

Customers authorize Chati or its authorized payment providers to process recurring charges.

Failure to complete payment may result in suspension or termination of access.

# 11. AI Credits

AI Credits are digital usage units intended exclusively for artificial intelligence features.

Unless otherwise specified:

* Credits do not expire.
* Credits accumulate.
* Credits cannot be transferred between accounts.
* Credits are non-refundable.
* Credits have no monetary value outside the platform.

Chati reserves the right to define AI consumption rates for different models or services.

# 12. Professional Services and Automations

Chati may provide professional implementation, consulting or automation services.

Such services are performed based on information provided by the Customer.

Chati does not guarantee:

* commercial success;
* increased sales;
* response rates;
* business outcomes;
* uninterrupted operation of third-party integrations.

# 13. Customer Data Ownership

Customers retain ownership of all conversations, files, contacts, configurations and information stored within Chati.

Nothing in these Terms transfers ownership of Customer Data to Chati.

Customers are solely responsible for the legality and accuracy of the information they store or process through the platform.

# 14. Data Retention

While a subscription remains active, Customer Data will remain available subject to normal platform operation.

Following cancellation:

Standard retention period:

Thirty (30) calendar days.

After this period, data may be permanently deleted.

Customers may purchase additional backup services if offered by Chati.

# 15. Artificial Intelligence

Certain platform features utilize artificial intelligence provided by authorized external providers.

By using these features, Customers acknowledge that information submitted may be processed to:

* generate responses;
* create automations;
* summarize conversations;
* improve workflows;
* provide requested functionality.

Chati may also use aggregated, anonymized and de-identified information to improve its own services, algorithms and artificial intelligence capabilities.

Chati does not sell personally identifiable Customer Data.

AI-generated content should always be reviewed by a human before making business, legal or operational decisions.

# 16. Third-Party Services

Chati integrates with external providers including, but not limited to:

* Meta
* WhatsApp
* Instagram
* Facebook
* OpenAI
* Cloud infrastructure providers
* Other technology partners

These providers operate independently.

Accordingly, Chati does not control and cannot guarantee:

* account quality ratings;
* business reputation scores;
* verification status;
* message delivery;
* restrictions;
* suspensions;
* bans;
* policy modifications;
* API availability;
* operational continuity.

Customers remain solely responsible for complying with the terms and policies applicable to those providers.

# 17. Meta and WhatsApp Disclaimer

Chati is an independent software platform.

Chati is not affiliated with, endorsed by or controlled by Meta Platforms, WhatsApp or Instagram unless explicitly stated.

Any limitation, quality downgrade, suspension, verification request, restriction or reputation decision imposed by Meta or WhatsApp is outside Chati's control.

Chati assumes no responsibility for those decisions.

# 18. Availability

The availability of Chati depends on:

* cloud infrastructure;
* internet connectivity;
* Meta services;
* WhatsApp services;
* Instagram services;
* artificial intelligence providers;
* third-party integrations.

Although Chati makes commercially reasonable efforts to maintain reliable service, uninterrupted availability cannot be guaranteed.

Maintenance windows, updates and external incidents may temporarily affect platform operation.

# 19. Acceptable Use

Customers may not use Chati for:

* spam;
* phishing;
* malware distribution;
* fraudulent activity;
* identity impersonation;
* illegal activities;
* harassment;
* unsolicited mass messaging;
* violations of Meta or WhatsApp policies;
* activities that may negatively impact platform stability or reputation.

# 20. Suspension and Termination

Chati may suspend or terminate access immediately if it reasonably believes that:

* these Terms have been violated;
* illegal activity is occurring;
* platform security is at risk;
* misuse affects other customers;
* third-party provider policies are being violated.

Suspension does not eliminate outstanding payment obligations.

# 21. Intellectual Property

All platform software, source code, branding, logos, interfaces, documentation and proprietary technology remain the exclusive property of Chati.

Customers receive a limited, non-exclusive, non-transferable license to use the Service while their subscription remains active.

# 22. Refunds

As a general rule, subscriptions are non-refundable.

However, Chati may approve refunds when:

* billing errors occur;
* the service cannot reasonably be provided;
* Chati determines that a refund represents the fairest solution.

Renewal disputes submitted within forty-eight (48) hours may be reviewed individually.

Approval of a refund remains entirely at Chati's discretion.

# 23. Limitation of Liability

To the maximum extent permitted by applicable law, Chati's total cumulative liability arising from or relating to the Service shall not exceed the subscription fees actually paid by the Customer during the one (1) month immediately preceding the event giving rise to the claim.

Under no circumstances shall Chati be liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, business interruption, goodwill or data.

# 24. Communications

Customers agree that Chati may send communications related to:

* subscriptions;
* invoices;
* platform updates;
* security notifications;
* legal notices;
* service announcements;
* marketing communications,

subject to applicable law and available opt-out mechanisms where appropriate.

# 25. Modifications

Chati may update these Terms from time to time.

Material changes will become effective upon publication on the official website unless otherwise required by applicable law.

Continued use of the Service after publication constitutes acceptance of the updated Terms.

# 26. Governing Law

These Terms shall be governed by the laws of the Republic of Colombia.

Before initiating judicial proceedings, the parties agree to make reasonable efforts to resolve disputes through direct communication and good-faith negotiation.
